Terms of Service

These Terms of Service ("Terms") govern your use of the Yakki macOS application and website (collectively, the "Service") provided by Yakki ("we", "our", or "us"), a company registered in England and Wales.

By downloading, installing, or using Yakki, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Description of Service

Yakki is a macOS application for voice dictation, audio transcription, and meeting intelligence. Core transcription is processed locally on your device. Optional cloud-powered features (AI meeting summaries, text enhancement) are available and disabled by default.

2. License Grant

2.1 What We Grant You

Subject to these Terms and payment of applicable fees, we grant you a personal, non-exclusive, non-transferable, revocable licence to install and use Yakki on macOS devices you own or control, for lawful purposes.

2.2 Restrictions

You may not:

• Reverse engineer, decompile, or disassemble the application
• Copy, redistribute, sublicence, or resell Yakki or any part of it
• Remove or alter any proprietary notices, labels, or marks
• Use Yakki to develop a competing product
• Share your licence key with others or use it on more devices than permitted

2.3 Updates and Modifications

We may update, modify, or discontinue features of Yakki at any time. Updates may add, change, or remove functionality. We are under no obligation to provide any specific updates or to maintain any particular feature. All updates are subject to these Terms. We will endeavour to communicate significant changes, but you acknowledge that the application may evolve over time.

3. Pricing and Plans

3.1 Plans

Yakki is available under the following plans:

3.2 Free Trial

We offer a 7-day free trial with a 5,000-word transcription limit. No credit card is required. The trial provides full access to all features. After the trial period or word limit is reached, a paid plan is required to continue using Yakki.

3.3 Payments

All payments are processed by Polar. By purchasing a plan, you agree to Polar's terms of service. Prices are displayed in USD and may be subject to applicable taxes.

3.4 Lifetime Licence

The Lifetime plan grants you access to all updates and features of the current Yakki product for as long as it is maintained and developed. The Lifetime licence does not automatically extend to new products.

3.5 Subscriptions and Cancellation

Monthly and Annual subscriptions auto-renew at the end of each billing period. You may cancel at any time through your Polar account. Cancellation takes effect at the end of the current billing period — you retain access until then.

3.6 Price Changes

We may change our prices from time to time. For active subscriptions, we will provide at least 30 days' notice before any price increase takes effect. You may cancel before the new price applies.

4. Refund Policy

We offer a 14-day money-back guarantee on all plans. If you are not satisfied with Yakki for any reason, contact us within 14 days of your purchase for a full refund.

• Monthly/Annual plans: Refund of the most recent payment within 14 days of that charge
• Lifetime plan: Full refund within 14 days of purchase

5. User Responsibilities

5.1 Lawful Use

You are solely responsible for ensuring your use of Yakki complies with all applicable laws and regulations, including but not limited to:

• Recording consent laws: Many jurisdictions require consent from one or all parties before recording a conversation. You are responsible for obtaining any required consent before using Yakki to record or transcribe audio.
• Data protection laws: If you use Yakki to process personal data of others (e.g., meeting transcriptions), you are responsible for compliance with applicable data protection regulations (GDPR, CCPA, etc.).
• Professional use: Yakki is not a substitute for certified transcription services. If you require legally certified transcripts (e.g., court proceedings, medical records), use an appropriate professional service.

5.2 Prohibited Uses

You may not use Yakki for:

• Unlawful surveillance or recording without consent
• Any activity that violates the rights of others
• Interfering with or disrupting the Service
• Attempting to gain unauthorised access to our systems

6. Affiliate Programme

We operate an affiliate programme for approved creators. If you participate as an affiliate:

• You earn a 25% commission on referred paying customers for 12 months from their first purchase
• A 30-day cookie window applies for attribution
• You must promote Yakki honestly and not make misleading claims about the product
• You may not use Yakki's trademarks in domain names, paid search ads, or in any way that implies official endorsement
• Spam, incentivised clicks, or self-referrals are prohibited
• We reserve the right to terminate your affiliate account and withhold commissions for fraudulent or misleading activity
• Commission payouts are made monthly, subject to a minimum threshold

7. Intellectual Property

Yakki, including its design, code, branding, website content, and documentation, is owned by us and protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or branding.

Content you create using Yakki (your transcriptions, recordings, notes) remains entirely yours. We claim no ownership over your content.

7.1 Feedback

If you provide us with suggestions, feature requests, bug reports, or other feedback about Yakki, you grant us an unrestricted, perpetual, irrevocable, royalty-free licence to use, modify, and incorporate that feedback into the Service without obligation or compensation. You are never required to provide feedback.

8. Privacy

Your privacy is fundamental to Yakki. Please read our Privacy Policy for details on how we handle your data. In summary:

• Audio and transcriptions are processed and stored locally on your device
• We do not train AI models on your data
• Optional cloud features are disabled by default
• We collect minimal data (licence info, optional analytics)

9. Third-Party Services

Yakki integrates with the following third-party services:

Your use of these services is subject to their respective terms. We are not responsible for the practices of third-party providers.

10. Disclaimers

Yakki is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

Specifically, we do not warrant that:

• Transcriptions will be 100% accurate
• The Service will be uninterrupted or error-free
• The Service will meet your specific requirements
• Any data stored locally on your device will be preserved (you are responsible for your own backups)

11. Limitation of Liability

To the maximum extent permitted by law, our total liability to you for any claims arising out of or related to these Terms or your use of Yakki shall not exceed the amount you paid to us in the 12 months preceding the claim.

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of profits, or business interruption, regardless of the cause of action.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded under English law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Yakki and its officers, directors, and employees from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

• Your use of the Service in violation of these Terms
• Your violation of any applicable law, including recording consent or data protection laws
• Any content you create, record, or process using Yakki
• Your participation in the affiliate programme in breach of programme rules

13. Termination

• By you: You may stop using Yakki and cancel your subscription at any time.
• By us: If you breach these Terms, we will notify you and provide 30 days to remedy the breach. If the breach is not remedied within that period, we may suspend or terminate your access. For serious violations (fraud, illegal activity, or conduct that harms other users), we may terminate immediately without a cure period.

Upon termination, your licence to use Yakki ends. Your local data remains on your device — we have no ability to access or delete it.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of Yakki after changes are posted constitutes acceptance of the revised Terms.

15. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms or your use of Yakki shall be subject to the exclusive jurisdiction of the courts of England and Wales.

16. Consumer Statutory Rights

If you are a consumer (an individual acting outside of your trade, business, or profession), nothing in these Terms affects your statutory rights under applicable consumer protection laws, including the UK Consumer Rights Act 2015 or equivalent legislation in your country of residence.

Where any provision of these Terms conflicts with mandatory consumer protection rights in your jurisdiction, those statutory rights shall prevail. In particular:

• Your statutory right to a remedy for faulty digital content is not limited by our disclaimers
• Consumers in the European Union retain the benefit of any mandatory consumer protection provisions in their country of residence
• EU consumers may use the European Online Dispute Resolution platform for extrajudicial resolution of disputes

17. General

• Entire agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Yakki.
• Severability: If any provision of these Terms is found unenforceable, the remaining provisions continue in effect.
• No waiver: Our failure to enforce any provision does not waive our right to do so in the future.
• Assignment: You may not assign your rights under these Terms. We may assign ours in connection with a merger, acquisition, or sale of assets.
